These Terms of Use govern the use of the ZiyaraTech platform. Creating an account on the Platform or using it constitutes agreement to be bound by these Terms and the related legal documents.
1. Definition of the Platform
ZiyaraTech is an electronic platform that provides digital solutions for managing and operating healthcare facilities, along with the related services and functions the Platform provides.
For the purposes of these Terms:
- The Platform: the ZiyaraTech platform and its electronic services.
- The Client: the facility or entity subscribed to the Platform's services.
- The User: the person authorized by the Client to use the Platform under the permissions granted to them.
- The Subscription: the right to use the paid services under the selected plan.
2. Account Creation
The Client and the User agree to:
- Provide accurate and up-to-date information.
- Keep login credentials confidential and not share them with unauthorized persons.
- Use the account within the permissions granted.
- Update their information when it changes.
- Notify the Platform if unauthorized use of the account is suspected.
The Client is responsible for managing the accounts of its associated users and their permissions.
3. Use of the Platform
The Client and the User agree to use the Platform for lawful purposes only, and may not:
- Use the Platform in a manner that violates applicable regulations or third-party rights.
- Attempt unauthorized access to accounts, systems, or data.
- Disrupt the Platform or interfere with its security or operation.
- Upload harmful files or malicious software.
- Copy, resell, rent, or exploit the Service without authorization.
- Perform reverse engineering or attempt to extract the source code.
- Use the Platform to publish or process unlawful content.
4. Responsibility for Data
The Client is responsible for:
- The accuracy of the data it enters or manages through the Platform.
- The lawfulness of collecting, entering, and processing the data.
- Obtaining the necessary consents where required.
- Managing its users' permissions to access the data.
- Maintaining the confidentiality of the data it manages through the Platform.
Personal data is processed through the Platform in accordance with the Privacy Policy.
5. Subscriptions
Use of the paid services is subject to an active subscription under the selected plan.
The Subscription Agreement governs the provisions relating to plans, fees, billing, renewal, cancellation, refunds, and additional services.
6. Intellectual Property
All intellectual property rights relating to the Platform — including its software, designs, user interfaces, logos, trademarks, and content owned by the Platform — are reserved to their owners.
The Platform, or any part of it, may not be copied, reused, distributed, or exploited without prior written authorization.
Use of the Platform does not grant the Client or the User any ownership right in the Platform or its components.
7. Availability and Maintenance
We strive to make the Service available around the clock; however, it, or part of it, may be temporarily suspended for purposes such as updates, maintenance, or operational or security reasons.
A suspension resulting from causes beyond the Platform's control is not considered a breach of these Terms.
8. Third-Party and AI Services
Some of the Platform's functions may rely on services or systems provided by third parties, and the Platform is not liable for failures or changes resulting directly from those services.
The Platform may include functions that rely on artificial intelligence technologies. Their outputs are provided as assistive tools and are not a substitute for medical or professional judgment; the Client is responsible for reviewing them before relying on them.
9. Limitation of Liability
The Platform is not liable for damages or losses resulting directly from:
- Incorrect or incomplete data entered by the Client or the User.
- Medical, professional, or operational decisions made by the Client or its users.
- Use that violates these Terms.
- Failures resulting from the internet or third-party services.
- Reliance on AI outputs without properly reviewing them.
Nothing in this clause exempts the Platform from any liability required by applicable law.
10. Account Suspension or Termination
The account may be suspended, have its access restricted, or be terminated where:
- These Terms are violated.
- The Platform is used in an unlawful activity.
- Fees due under the Subscription Agreement are not paid.
- The Platform is misused, or harm is caused to it or its users.
- There is use or activity that constitutes a threat to the security of the Platform or its data.
Suspension or termination of the account does not exempt the Client from financial obligations due before the date of suspension or termination.
11. Modification of These Terms
These Terms may be modified when necessary, and the modifications become effective from their date of publication or the date specified for their effect.
Continued use of the Platform after the modifications take effect constitutes acceptance of them.
12. Governing Law
These Terms are governed by the laws of the Kingdom of Saudi Arabia, and jurisdiction lies with the competent courts within the Kingdom of Saudi Arabia.
