Subscription Agreement
This Agreement governs subscribing to the paid services provided through the ZiyaraTech platform, including plans, fees, billing, renewal, subscription management, add-on services, cancellation, and refunds. Subscribing to one of the Platform's plans or using the paid services constitutes agreement to this Agreement.
1. Scope of This Agreement
This Agreement applies to the subscriptions, plans, and paid add-on services provided by the Platform. It defines the services, resources, and features available to the Client under the plan or service it selects.
2. Plans
The Platform provides subscription plans that differ in their services, features, resources, and available limits.
The plan details and their approved prices are as published on the Platform or in the offer presented to the Client at the time of subscription. The Client's right to use the services is limited to what is included in the plan and any add-on services it has subscribed to.
3. Subscription Term
The subscription term begins on its activation date and continues for the period specified at subscription, whether monthly, annual, or another available term.
The subscription remains active until the end of the paid period, unless suspended or terminated under this Agreement or the Terms of Use.
4. Trial Period
The Platform may offer a free trial period for certain clients or plans, subject to the terms announced at sign-up.
The end of the trial period does not result in a paid subscription except in accordance with the approved subscription mechanism and the Client's agreement to the applicable fees.
Eligibility for the trial period may be determined, and repeated use of it by the same client may be restricted.
5. Fees
The Client agrees to pay the published fees for the plan and any add-on services it selects.
The fees due and any applicable taxes, if any, are specified on the pricing page, the invoice, or the approved offer presented to the Client.
Subscription fees do not include any additional services or resources not included in the plan, unless stated otherwise.
6. Billing and Payment
Subscription fees become due according to the billing cycle specified for the plan.
Payment is made through the payment methods provided by the Platform.
The Client is responsible for the accuracy of the billing and payment information it provides. Paid services may be suspended where amounts due are not paid.
7. Renewal
The subscription is renewed according to the renewal mechanism approved at subscription, whether renewal is automatic or manual.
Where automatic renewal is enabled, the Client may disable it before the renewal date through the means available to it. Upon renewal, the subscription is subject to the prices and plans applicable at the time of renewal, unless otherwise agreed.
8. Subscription Management
Depending on the options available, the Client may manage its subscription by:
- Upgrading the plan.
- Downgrading the plan.
- Adding or removing add-on services.
- Disabling renewal.
- Cancelling the subscription.
- Reactivating the subscription.
The effects of any change to the subscription apply according to the terms and prices communicated to the Client when the change is made.
9. Add-On Services
The Client may purchase additional services or resources (Add-ons) alongside the base plan.
Add-on services are subject to their own prices, limits, and terms as published at the time they are requested, and are not considered a permanent part of the base plan unless stated otherwise.
10. Cancelling the Subscription
The Client has the right to cancel its subscription or disable its renewal through the means provided by the Platform.
Cancellation does not immediately end the paid period; the Client's right to use the services included in its subscription continues until the end of that period, unless stated otherwise at the time of cancellation.
11. Refunds
Subscription fees are not refunded once the paid period has started, unless expressly stated otherwise at subscription or in an approved offer presented to the Client.
The Client's non-use, or partial use, of the Service does not give rise to a right to a refund of fees paid.
12. Effect of Violations on Refunds
Suspension or termination of the account due to a violation of the Terms of Use or misuse of the Platform does not give rise to a right to a refund of amounts paid for the remaining period of the subscription.
13. Billing Errors
If the Client believes there is an error in an amount charged or in an invoice issued to it, it should contact the Platform's official channels to request a review of the transaction.
Where an error is confirmed, the amount or invoice is corrected according to the outcome of the review.
14. End of Subscription and Data
Upon expiry of the subscription, the Client's right to use the paid services associated with it ceases.
Processing and retention of the Client's data after the subscription ends is governed by what is specified in the Privacy Policy.
15. Changes to Plans and Pricing
The plans, their prices, or the services, features, and resources included in them may be modified.
Changes to subscription prices do not apply to a current paid period, and new prices apply upon renewal or upon subscribing to a new plan or service, unless otherwise agreed.
16. Suspension or Termination of the Subscription
The subscription may be suspended or terminated where:
- Fees due are not paid.
- The Terms of Use or this Agreement are violated.
- The services are misused or used for unlawful purposes.
Suspension or termination does not waive any amounts due before the date of suspension or termination.
17. Modification of This Agreement
This Agreement may be modified when necessary, and the modifications become effective from their date of publication or the date specified for their effect. Modification of the Agreement does not affect financial rights due for a paid subscription period before the modification takes effect, unless otherwise agreed.
18. Governing Law
This Agreement is governed by the laws of the Kingdom of Saudi Arabia, and jurisdiction lies with the competent courts within the Kingdom of Saudi Arabia.
